These Terms & Conditions ("Terms") govern your access to and use of the URManager platform, websites, applications, and related services (collectively, the "Service"), operated by [Company Legal Entity Name] ("URManager", "we", "us", or "our"). Please read them carefully.

1. Agreement to terms

By accessing or using the Service, or by clicking to accept, you agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service.

2. Definitions

• "Account" — your registered access to the Service.
• "Customer Data" — information you submit to or generate in the Service, including property, financial, tenant, guest, and contact records.
• "End Users" — tenants, guests, leads, staff members, and other people you manage or invite through the Service.

3. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate information, keep it current, and safeguard your login credentials. You are responsible for all activity under your Account and for your End Users' use of the Service. Notify us promptly of any unauthorized use.

4. The Service

URManager provides software to manage short-term rentals and long-term leases, including bookings, payments and accounting, smart-lock access, communications, automation, websites, and AI-assisted tools. We may add, modify, or discontinue features at any time. We aim to keep the Service available but do not guarantee uninterrupted or error-free operation.

5. Subscriptions & fees

Some features may require a paid subscription or incur fees. Where fees apply, you agree to pay all charges associated with your plan, plus applicable taxes. Unless stated otherwise, fees are billed in advance and are non-refundable except as required by law. We may change pricing on prospective notice. Payments are handled by third-party processors; you authorize us and our processors to charge your designated payment method. Failure to pay may result in suspension or termination.

6. Your content & data

As between you and URManager, you retain all rights to your Customer Data. You grant us a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Data solely to provide and improve the Service, to enable integrations you request, and as permitted by the Privacy Policy.

You represent that you have all rights and permissions necessary to provide Customer Data and that it does not violate any law or third-party rights. You are responsible for the accuracy and legality of Customer Data and for maintaining your own backups. You are responsible for obtaining any consents required from your End Users.

7. Acceptable use

You agree not to:

• Use the Service unlawfully or in violation of any applicable regulation (including housing, landlord-tenant, consumer-protection, tax, and e-signature laws).
• Infringe intellectual property or privacy rights, or upload unlawful, harmful, or fraudulent content.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems; probe or breach security; or circumvent usage limits.
• Introduce malware, interfere with or disrupt the Service, or place undue load on our infrastructure.
• Reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law.
• Use the Service to send unlawful or unsolicited communications.

8. AI features

The Service offers AI-assisted features and supports connecting your own AI assistant via our MCP server. You acknowledge that:

• AI output is generated automatically, may be inaccurate, incomplete, or unsuitable, and must be reviewed by you before use.
• AI output does not constitute legal, financial, tax, or professional advice. You are solely responsible for decisions you make and actions you take.
• When you connect an external AI assistant, that assistant acts with your permissions and can take actions in your Account; you are responsible for what you instruct it to do, and your use is also governed by that provider's terms.

9. Third-party services

The Service integrates with third-party products — for example smart locks (TTLock), payment processors, listing platforms (such as Airbnb, VRBO, and Zillow), messaging providers, and AI providers. Your use of those products is governed by their own terms and privacy policies. We are not responsible for third-party services, and their availability or changes may affect the Service. Integrations are provided "as is."

10. Smart locks & access control

Smart-lock features depend on third-party hardware, networks, and cloud services that may fail or be unavailable. You are responsible for maintaining alternative access methods, for the security and distribution of access codes, and for compliance with applicable laws regarding property access and entry. URManager is not liable for lockouts, unauthorized access, or damages arising from smart-lock use or failure. Always maintain a reliable backup means of entry.

11. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by URManager and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes. We retain all rights not expressly granted. Feedback you provide may be used by us without obligation to you.

12. Privacy

Our collection and use of information is described in our Privacy Policy, which is incorporated into these Terms by reference.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUT (INCLUDING AI OUTPUT) WILL BE ACCURATE OR RELIABLE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, URMANAGER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE PAID NOTHING. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify and hold harmless URManager and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service, your violation of these Terms or applicable law, or your infringement of any third-party right.

16. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or if we reasonably believe your use poses a risk to the Service or others. Upon termination, your right to use the Service ends. We may make Customer Data available for export for a limited period after termination, after which we may delete it consistent with our Privacy Policy and legal obligations. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

17. Governing law & disputes

These Terms are governed by the laws of [Your Governing Jurisdiction], without regard to conflict-of-laws rules. You agree that the courts located in [Your Jurisdiction / Venue] will have exclusive jurisdiction, except where applicable law provides otherwise. These Terms, together with the Privacy Policy and any order or plan terms, are the entire agreement between you and URManager regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, agency, or employment relationship.
